Can a Foreign Co. amalgamate with an Indian Co. under Companies asCT 1956?

A Private Limited Company is incorporated on 27th February, 2013.But no transaction is done for Financial Year 2012-2013 (1 month) except share capital subscribed by Directors.

What are the compliances it needs to do for ROC, Income Tax etc for Financial year 2012-2013 AY 2013-2014?

CAN DUPLICATE SHARE CERTIFICATE ISSUE WITH NEW CERTIFICATE NO OR WITH OLD CERTIFICATE NO ?

One Company received requisition for calling of EGM from members, after that EGM was called, There was 9 shareholders in the Co ( 4 shareholders was against the resolution holding 56.20 % shareholding ) and 5 Members was in favour of resolution holding (43.80 % shareholding), Kindly advice whether the resolution be valid or not, Kindly also provide the section in this reference.

Section 108 of the companies act, 1956 mentioned the cancellation of the stamp on instrument of transfer.

How to do it?

Suppose there are 2 Joint Venture companies A and B having 3 interested directors. Company B holds certain shares of company A. Now Company B wants to avail loan from Bank. Company B use shares held by it of Company A as security.
Now the question is, does any disclosure is required by the interested directors or what will be the procedure to avail loan and what will be duties of intrested directors?? reply soon

Sir, I have filed form 18 & form 1 for company incorporation.But due to some mistake(form 1,attachment of affidavit was missing& form 18 director noc was not in proper format) the remark for Roc was to resubmit it. Kindly suggest whether I have to resubmit form 1 & 18 again or I have to file some other form(Form 67 or 68) for retification of mistake & whether new filing fees will be chaged by Roc.
