Can a company invest in Mutual Fund in the name of Director? is it allowed under the company law? if yes what is the procedure?

Dear Members

XYZ is a Private Limited. The company has not availed any loans from bank or financial institutions. The company does not have any income / revenue for the past few years. The paid up capital is Rs.55.00 lacs. Debit balance (loss) in profit & loss account is about Rs.1.10 crores.

My query is whether CARO Report is applicable to this company. This is due to the fact that in view of the debit balance in P&L the entire capital has been eroded.

I and my father wants to register a privet limited company for production of seed. For production of seed agricultural land is required. so I will transfer my agricultural land 5 acre to company and my father will transfer 10 acre agricultural land to company. Against land I will get 33.33% share and my father will get 66.66% share.
How to legalize this process, and what will the stamp duty on this.

I have uploaded Form 18 with valid address proof. But, still the Form has been marked for RESUBMISSION stating that "a NOC from the owner stating the address and the name of the company to which it is being given duly signed with date and place//(Please refer Regulation 17 of the Companies Regulation, 1956)"

Kindly provide me the format of the NOC

One co.has only four shareholders.Three of them are in foreign.For appointing auditor it is necessary to conduct general meeting.But how is it possible? Please give me solution in a proper and practical way.it's argent.
