Dear Experts

While issuing shares in a Private Company, it has made a SHA that, if the Share holder will not comply with any of the T & C or will not make payment thereof.
After giving a Notice period of 30 days either of the party is free to exit.


Secondly, we have an option to forfeit the shares by giving the 3 notice and following the procedure thereof.

Now the query, we want to use the weapon of Forfeiture instead of the given in SHA.

The doubt is on the subject that ''Whether the Share Holder Agreement if properly made then it is mandatory to follow ?

Can we take all action as suggested in the SHA ? Will the ROC accept the same ?

Will provisions of CARO apply on every non listed public co.

or

there are certain exceptions

or

there are certain specific conditions for its applicability?

Please reply.

1-Can all Companies accept deposit from public under the new act???
2- what is the concept of cooling off period as stated under this act regarding appointment of auditor?

please provide me new format of MOA and AOA its very urgent or is there any change in procedure of company incorporation which is applicable at this time

1)What is the Due date criteria for First Board Meeting and Appointment of Auditor in case of Newly Incorporated Company.
Suppose XYZ PVT LTD is Incorporated on 16/15/2012.
2) Which Forms are to be filled with ROC regarding this?

Dear sir

My company say "A pvt ltd" has got name from MCA and its registered office will be in the premises of the another company say "B pvt Ltd".

I have uploaded Form 18 with following attachments
- rent agreement with "B pvt ltd "
- NOC on letterhead of " B pvt ltd "( this NOC is signed by authorised person )

but ROC asks for NOC through Board Resolution of "B pvt ltd"
But all the directors of the "B Pvt Ltd" has travelled foreign tour and at present they are outside India.

now how can this issue be resolved


1. How can we get NOC through BR from " B pvt ltd" because the said directors will come after 1 month

2. is there any another way to get the solution ?

3. Should I talk with ROC ?

please help me , it's too much urgent

In a Private Company, Can a Director be appointed for specific period after completion of which he/she shall be automatically ceased to be a director? If yes,then what is the procedure?

Where, the Directors of ABC Pvt. Ltd. are also the partners of ABC.

What provisions of Companies Act or Income Tax Act are required to be seen in this condition.
