If shares of pvt ltd Company are transferred to members of Building(Sty members).What procedure exactly needs to be followed. plz Guide

Can anyone please help me in the procedure for voluntary winding up of the company by a pvt ltd company, along with the resolutions and forms if any?

A finance company always executing Power of Attorney in favour of their employees regarding their work area, it is become very bulky for company always held Board Meeting only for this work. So, is it any provision in any law to prevent unlisted public company for this work and is it any way to resolved this matter without such hurdle ?? please reply me ASAP.

hi, I have received the confirmation for availability of company name after filing form 1A. In that form, I had written authorised capital of Rs25 lac. But now i realize that i should have set the authorised capital of Rs 10 lacs . So can I change my authorised capital now itself to Rs 10 lacs in Form 1?

I have filled Form 1A for availability of name ie xxxx INDIA PRIVATE LIMITED. Later i have withdrawn the name with in 60days and filled once again form 1A and used only xxxx private limited .

Know i have a query. Is the first name get lapsed, as i want the first name which i have filled in the first forms.

1.Filing of Form 23B within due date (within 30 days of AGM), whether any fees to be paid or its free?

2.Whether Auditor has a right to claim the Fees paid for filing Form 23B with ROC from its Clients?

3. Who is primary liable for filing Form 23B with ROC- Auditor or client?

4. IF Auditor Fail to File Form 23B with in due dates, who is liable to bear the Penalty or late fees - Auditor or Client?

5.Can Auditor will ask reimbursement of Fees paid including Late Fees paid for filing form 23B form Clients?Any remedy to clients or objection ?

In case of pvt limited company incorporated on 4th November 2011, kindly let me know the following dates -

1. date when the first set of financials should be prepared.

2. date of first AGM and the date of subsequent AGM for the same company.

Can First Auditor be appointed in the First Annual General Meeting of the Company if BOD Fails to appoint First Auditor within one month of registration of the company.

if Yes, Also tell the tenure of First Auditor.
