Is there any limit on payment of remuneration to directors of a private limited company as per the provisions of the Companies Act,1956 or Companies Act,2013?

Please urgently tell me the practical procedure for voluntary winding up of a private limited company ..

Sections 372A of 1956 Act was restored until 186 of 2013 Act is made applicable.

But what about private limited companies? 372A is applicable only to public ltd co and to a pvt ltd co which is subsidiary of pub ltd co.

Does section 185 of Co act 2013 applicable to pvt ltd co? Is erst while sec 295 is also restored until 186 (2013 Act )is applicable applicable?

I have filed Form 1, Form 18 and 32 filed on 20-11-2013 for formation of private company but that was rejected by mca by giving reason that attach copy of utility bill and NOC from the owner of the property. I want to know that in case property is taken on lease that whether NOC shall be necessary to take from owner of the property and what is utility bill. My second question is what should be written on AOA and MOA because there was another reason for rejection was that companies act 1956 and 2013 to the extent applicable should be printed in MOA and AOA. PLease provide suitable answers as soon as possible...its urgent

Supposing i acquire 1000 (10%)shares in xltd on 01/04/2012. The F.y of xltd is jan-Dec. For F.y.Jan11-Dec 11 the company announces dividend of 2% on 01.5.2012. Now in the p&l a/c of xltd for f.y.jan11-dec11,there appears a proposed dividend of Rs.1000. Now My Query is
1)will i be eligible to receive dividend on 1000 shares (record date being 06.05.2012)

2) Is the dividend appearing in P&l a/c of f.y.jan11-Dec11 is of this year or any previous year.

I want to incorporate a pvt company. Is it possible for me to give my house address as address of registered office? Actually, house is in the name of father. Is it required to execute any NOC or lease deed with him for this purpose? Is it required to be uploaded? Will telephone bill be sufficient for proving the address?
