MCA has raised a query that "person who is giving noc for the said premises has signed in hindi, ask her to give an affidavit for the same"

A board resolution need for new bank account opening
can only one director sign BR and it is valid

is there any necessary to file with Roc regarding loan from directors from 1.4.2014.
If yes what are the consequences.

As per CODE OF ETHICS Chartered Accountants cannot pay any share out of his emoluments:

Professional Misconduct in relation to Members of the Institute in Service:
Clause (a) - Member in employment of a company, firm or person prohibited from paying or allowing or agreeing to pay or allow directly or indirectly to any person any share in his emoluments.

I want to know that, I being a CA not holding COP if goes to employment consultancy, I am required to pay a part out of my first salary as commission after I got job from that consultancy, Whether such payment by me will be considered as misconduct as per above clause?

my query is in Companies(declaration of dividend out of reserves) rules, one of the conditions is

the balance of reserves after such drawal shall not fall below fifteen per cent of its paid-up share capital.

What if my free reserves before withdrawal are less than 15 percent of paid up? the company should not declare dividend out of reserves, right?

Please tell me whether listed company is complusorly liable to submit Form-A with soft copy of annual report to stock exchange for unqualified report too for the financial year 2012-13 or may be sent soft copy of annual report with unqualified audit repot along with a forwarding letter duly signed by the compliance officer.
