Facts of the matter



One NBFC Listed company have given Loan/Inter corporate deposite to one private company for 60 days @24.% interest p.a.



The loan agreement was also executed and also the deed of personal guarantee.



then the borrowing company have asked for various extension to repay the same which lender company agreed .




But now the borrowing company have not paid interest for 5 months ?



QUERY

(1) can the lending company renew the loan agreement before expiry AND in the same agreement , can pending interest amount of 5 months be shown as LOAN by combining with principle amount ?? OR


2) can separate agreement be made for pending interest amount by showing it as LOAN ? OR



3) incase both the above option not suitable , pl.suggest most appropriate options.

What is the exact procedure of Conversion of Private Company into Public Company as per the applicable provisions of the Companies Act, 2013? Please provide with the specimen of Resolution in Board Meeting, Notices and resolutions of EGM for conversion of Private Company into Public Company which are in accordance with the applicable provisions of Companies Act, 2013?

Also Please provide with the specimen of a MOA and AOA of a Public Company along with the prospectus necessary for the aforesaid conversion which are in accordance with the applicable provisions of the Companies Act, 2013?

Private limited company having authorized capital of Rs. 10,00,000 and date of AGM is 30/09/2013 then what will be fees for late filing of Form 23AC- ACA ???

My Clint is a Pvt. Ltd. Co. and it did not start its business activity. It has also not incurred any exp. Whether it is compulsory to prepare profit & loss a/c? Please provid section references and any guidance note issued by ICAI.

I want to know
whether there is condition to maintain Rs.1 crore if One chooses the word "INDUSTRIES "in her proposed company name

I need your help in the below matter:

I submitted documents (Form 1, 18, 32) for formation of a public company and paid fee of Rs. 17200/-. Unfortunately, the form is marked as "Invalid and not been taken on record" due to more than two resubmissions.

The mistake was as follows

1 NOC from owner of registered office; and

2 One director was shown as MD in F-32, resubmit as a director, After incorporation appoint as MD and add on a clause on AOA.

I need your guidance as to :

- whether I need to file all the forms afresh?
- whether all the fees of Rs. 17200/- need to be paid again?
- Out of total fee of Rs. 17200/-, Rs. 16000/- is in respect of MOA. As, There is no mistake in MOA, can I claim credit of the same while filing the forms afresh.

I have filled Form 1,18,32. but now the status shows " Pending for approval under regulation 17(6)".

Now it has passed 1 week but no action is taken by MCA

I want to Know whether the same is set aside due to Query or due to their internal Process.


Please guide me as my client demanding time within which approavl woould be granted.
