I have received a notice from MCA for non filing of form 5 INV for a private limited company.In Balance sheet 2012-13, share application pending allotment has shown.
how can i reply for the said letter.

What is the procedure for Reqppointment of a Whole Time Director in a Public Limited Company?
What are the ROC Forms required to be file at the time of reappointment of Whole Time Director?
Whether a whole time director can withdraw different remuneration each year during his tenure as a whole time director?

Share application money was received from an applicant several years ago but against the same Pvt. Ltd. company could not allot shares as the applicant has expired. Is the company correct in showing the money received as share application money? Should the company allot the shares to one of the legal heirs in absence of any written will?

What should happen if the day specified in the articles for an adjourned board meeting accidentally happens to be a public holiday?

my company has been struck-off vide fast track exit procedure letter u/s 560(5) received as on 17.02.2014.

I have some queries post strike-off as follows:-

1. Do we receive any certificate from ROC, regarding such strike-off or the notice u/s 560(5) is sufficient proof for stike-off of such company?

2. as the company has been struck-off in February, is the company required to file its ITR upto January??

3. What are the other actions to be taken post strike-off, like deactivation of PAN number in the name of the Company and surrender of other certificates/ registrations.

Me and my son are partners in a partnership firm.
The terms of agreement say equal allocation of profit/loss and equal remuneration to both the partners.
Capital is in 90:10 ratio.
My question is, in legal terms are we considered as 50:50 partners or 90:10 partners?
What is the shareholding of each of us? if the firm is sold then at what ratio the proceeds will be distributed?Are there any Court rulings?

Fact- A Pvt Company incorporated as per Indian Company Law and having NRI directors.Now both the directors are outside of india.

A private ltd company has increased its authorised capital by pref shares and had made allotment of some pref shares n some equity shares.whether there is need to file form 23
