Could some one elaborate as to what is the consequences of late filing of Form MGT-14, and what is penalty?

My query is that while drafting minutes of the Board Meeting which date is suppose to be written at the end of the page near Chairman,s signature?
is it the date of next Board Meeting when he signs and approves or the date when Minutes are drafted i.e. within 30days of Board Meeting??/

our company filing annual return in FY 11-12 in ROC, it is revised or not in fy 13-14

I want to file MGT-14 with a resolution regarding Disclosure of interest by the directors. Is MGT-14 the correct form? If so, what is to be selected from the drop down list of the purpose of resolution in MGT-14? I also want to know whether the certification of the professional is required for filing MGT -14?

I have formed one company and its formation expense was 89,000 aprox.. the same amount is spent trough promotors bank account.

Now my question is how this preliminary expense should be shown in balance sheet?

I have made Annual Filling of a Company. Now I want to file Auditor Appointment to ROC....but their is no form (old form Form 23B), then what should I do ?
Also if I have not file the same to ROC whether their is any penalty ? Also in next year annual filling in form 23AC if I mention SRN of Form 23B as z9999999 then it can be valid ?
