what are the benefits of creating a company than a partnership firm or sole proprietor ship firm

I have uploaded INC-7 and all and i received the below queries:
the following query is not understood by me. Can someone help out me in this:

The confirmation of the witness in subscription and association clauses be given as per rule 13(1) of Companies (Incorporation) rules, 2014.


I cant get what is this rule 13(1) regarding subscriber page. Is there any specific format for witness?

We know what the Small Company means and which company are included in small company but we have to know that how it is different from other company in regards to exemption,priorities etc.What priorities and exemption are given to small company

Dear Sir
We have done all the formality for change in registered office of the company from Delhi to gurgaon.
We also got the Order of RD in this regard.
All this formalities done before 01/04/2014, except RD order which came 26/06/2014; hance we were not required to file MGT-14.
now while filling for INC-22 it is asking for the SRN of MGT-14 as a mandatory field.

Can anyone suggest me how to come out with such a situation.

in the previous year, an unlisted public limited company had 0.25% convertible preference shares, issued during F.Y. 2009-10 redeemable at par or convertible into 10 equity shares after 12 years, but in F.Y. 2013-14 they have converted it into 0% convertible preference shares convertible into equity shares after 12 years.

I am now incorporating a company with 5 directors. 2 of them have DIN & existing 3 has applied. But the DIN of one person has forgetten by him. what is the way to find the DIN. I tried in MCA as Get DIN Application. But it seems to be an error. Is their any other way to get the DIN??

what is the total amount of stamp paper that we have to fill in column 5 of inc-21, if company is incorporated in Bihar?

This is in respect of Alteration of Object Clause of the Memorandum of Association [MOA] under Companies Act, 2013. While proceeding with the matter I am facing the following problems in terms of proper compliance of Section 13 of the Companies Act, 2013:

1. Company wants to add a new clause to the main object of the Company with a view to diversify its business activity in new line of business which it thinks will be a profitable venture.

2. We are not altering the entire set of our MOA under Companies Act, 2013 but only inserting a new clause to MOA to start a new activity as the concept of OTHER OBJECT has now been revoked and also my existing OTHER OBJECT clause does not carry this activity.

3. Therefore, if I file Form MGT -14 for Special resolution passed pursuant to section 13 of Companies Act, 2013 alongwith my existing MOA [which still carries MAIN OBJECT, ANCILLARY BUSINESS & OTHER OBJECT] , then will this create any problem in approving the Form?

Please suggest.
