Section 173(1) of the New Act is reproduced below

Every company shall hold the first meeting of the Board of Directors within thirty days of the date of its incorporation and thereafter hold a minimum number of four meetings of its Board of Directors every year in such a manner that not more than one hundred and twenty days shall intervene between two consecutive meetings of the Board:

My query in this regards is as follows:

An Unlisted Company holds a board meeting on 29th March 2014. The next board meeting will be held on 24th July 2014 within 120 days of the previous meeting. (Note : There will not be any board meeting during the period April to June 2014). Will it be sufficient compliance of Companies Act, 2013.

Further as per above Section every company has to hold minimum number of four board meetings every year. Kindly clarify whether the words “every year” denotes financial year or calendar year.

I am in process of Incorporating a private Limited company under companies Act 2013, The said company has been successfully got incorporated and I have received Certificate of Incorporation.

Now I need to file Form INC-21 for Certificate of Commencement. Can anyone please explain me what attachments to be disclosed? Do anyone have format of declaration to be given by directors?

hello, i filed form dir - 11 for resignation of directors but after few days i check signatory, name is still appears of resigned director. what is this???
after filing dir 11 i am not able to file dir 12. kindly suggest what to do?

A professional has been appointed as PROFESSIONAL USER by the company at MCA website. The professional user has himself registered as BUSINESS USER after providing all his professional qualification details at MCA website.

a) For the client company should he file the eform as business user or professional user.

b)If as professional user, how should he do it. (Note that after login as business user with his DSC , he is able to see the company name who have appointed him as professional user)

For form SH-7 - no CA/CS/CMA certification needed.

Does this exemption from certification by professional apply to all eforms filed by Private company which is small company / OPC?

a)ask for payment

b)generate SRN number

c) Revert to uploader after sometime letting the person know about status of SRN
(How much time it takes to know whether everything is fine through the SRN status?)

1) Should one mention in point 5 of form 32 - the designation of additional director as just Director or Additional director.

Assume Additional Director is appointed.


1) If the category mentioned in Form 32 in point 5 is promoter:

a) Does he has to invest money in company compulsorily?

b) If yes , when?

A director has been appointed in EGM. The resolution in EGM says - The term of office will be decided by the Board from time to time.

There is no board resolution talking about the tenure of the director so appointed.

Should above Director retire every year or should one consider him to be permanent director ?

Kindly quote section numbers wherever possible.

1) A Director has been appointed as Director by passing resolution in Extra ordinary General Meeting. Should one consider him as Director or additional Director ?



2) Can a company appoint additional directors through EGM?
