whether donation to PRIVATE AND PUBLIC trust is allowd under CSR activity?

I need opinion on the following:
Section 177 - Companies Act 2013
1) The Board of Directors of every listed company and such other class or classes of companies, as may be prescribed, shall constitute an Audit Committee.

(2) The Audit Committee shall consist of a minimum of three directors with independent directors forming a majority:

Provided that majority of members of Audit Committee including its Chairperson shall be persons with ability to read and understand, the financial statement.

(3) Every Audit Committee of a company existing immediately before the commencement of this Act shall, within one year of such commencement, be reconstituted in accordance with sub-section (2).

(4) Every Audit Committee shall act in accordance with the terms of reference specified in writing by the Board which shall, inter alia, include,--........

Queries:
1. Do we need to reconstitute every audit committee by passing a board resolution even if the same is in line with the sub sec (2) of sec 177?

2. Or just obtaining approval from the board for additional responsibilities as per sub-sec (4) is enough?

If A pvt. Co. taken a loan of Rs. 2700,000 from a person which is not a director nor a shareholder. What will be impact as per new co. Act.

We can allot him share for Rs. 2700,000 for adjust the loan

for all b/s and p&l which is required to file till 30th september 2014, no any requirement to comply of new companies act 2013? it is true? pl clarify

I have come to know that there has been some changes in Auditors' Report as well as Director's Report for F.Y 2013-14

So Please provide the the format for the both above for f.y 2013-14

1. Is Schedule V applicable for MD of Private Companies also.

2. Limitation that a MD cant be appointed in More two companies at a time. is that applicable for private companies also.

This is regarding viewing of public documents like MOA of PRIVATE COMPANY available at MCA website. If one views the public document, will that private company be intimated about their document being viewed by public every time it is done?

For small private company the MOA fees seems to be same (Rs.2000) irrespective of whether the authorized capital is 1 lac or 10 lac. Can someone please confirm this?

Mr. X has been Appointed or Reappointed as individual auditor of M\s PQR Ltd for the last seven(7) Years under Companyies Act,1956.
He was also reappointed as Auditor of the same company for the F.y 2013-14 in the AGM held on 27.09.2013

My Query is :-
A.) Whether Mr X is Eligible for being reappoint as Auditor of same Company as per the provision of companies Act, 2013

B.)If yes, then for how many year he can Audit the Company

C.)State Provision Regarding rotation of the Auditor in the case "Sited Above".
