How much Minimum Gap Must be there between two Offers.

As per the draft Rules, there must be a gap of minimum 60 days between two offers and only one offer can be given in a quarter.

Is this condition still exists.

Doubts:

1)AOA not providing power to alter share capital , so there is need to alter AOA , procedure ?

2)Which companies Act to follow ?

I want to start a auto finance co. and want to register it as private ltd. co., can i accept deposits form shareholder under this? if yes then can i accept it in cash? please provide the provisions.

and if i want to start a NBFC then what is the minimum fund requirement?

Sir/ madam , Does Companies Act 2013 replaced companies act 1956?? Or just it is an amendment act??

Dear Sir/ Madam, please suggest me, if in the annual filing of fy-12-13, a chartered firm has been appointed for the next year as per roc form 23 b, but due to its (ca firm) resignation for the next year & appointment of a new ca firm, there is any requirement to file a fresh roc form 23 b, for the appointment of the new ca firm.
if yes, then; in how many days it is to be filed from the date of resignation of the old ca firm.

since form 23B is discontinued on MCA website. A company has appointed us statutory auditor due to resignation by existing auditor. would like to know what all process as a incoming auditor we need to follow to comply with companies act 2013.

Kindly reply to my following (basic) query(s):

A private limited company has to file the following E-Forms with RoC consequent to it's First Board Meeting.

1. Form MGT-14 in respect of Resolutions u/s 179(3) of CA 2013.

2. Form GNL-2 for Form ADT-1

3. Form 23AC, Form 23ACA and Form 20B.

Should I have separate Resolution to Authorise Director for each of the above mentioned RoC E-Forms or

Should I have Combined Resolution to Authorise Director to submit and file the E-Forms with RoC?

Please reply…………………with suitable resolution in respect of the above query.

Dear Professional Colleagues,

While uploading DIR-12 for appointment of directors im getting error that "The director Mr.xxx with Din/pan No-xxxxxx is already a deactivated director and he cannot be deactivated again.

I've raised ticket with MCA but even they couldn't help me.

I request my colleagues to please help me in this matter.
