PLEASE HELP ME WITH THE PROCEDURE TO APPOINT A DIRECTOR AS PER COMPANIES ACT, 2013?

following is procedure
1. convey board meeting
2. issue notice of EGM
3. convey EGM and pass ordinary resolution for appointment of director
or call board meeting and appoint director as additional director
form DIR - 12 is to be file with roc in 30 days of appointment
