Fast track exit scheme

If a Company wants to exit under Fast Track Exit scheme of MCA is it required to file MGT 14 applicable for the last year for receiving MBP-1 from the Directors or approval of annual accounts???

Can XZY Co. lend loan to ABC Co. if there is a common share holder Mr.R holding less than 25% of voting rights in both the Co. And if he holds more than 25%.What is the provision relating to this as per new companies act 2013....??
