Role change of one director is not happening under V3 login of MCA portal. It displays error report as 'Service Error' after entering one time password received in mobile. Since this is not getting updated, while uploading INC 9 form for company incorporation which needs to be digitally signed by all directors, it shows DSC of the specified director is not registered. Thus we are unable to upload the form. We had registered grievance with MCA. But there was no accurate response on this. Can anyone please suggest any remedy.

A private limited company has two directors in their Board and one of them is Bank's authorized signatory. Both the directors wants to resign the company but before their resignation, two new directors shall be appointed in the board to fulfill the requirement of Act as well as quorum.

Now the outgoing partner can not withdraw the power of being signatory in the Bank by himself..right ??

Board has to pass resolution for change the signatory and enclose their resignation letter and form along with it...right ??

Is there any section of the act which tells the same !!!

For a Private Limited Company having turnover of Rs.500 CR

My questions is whether Internal audit is compulsory ?
If yes then should it be conducted by Chartered Accountant only ?

A company have received amount from Mr. A's NRE Account and wants to issue NCCPS in lieu of this amount but could not issue the NCCPS due to some RBI guidelines. Now He wants that company will issue NCCPS in favour of his daughter who is already a shareholder of the Company. And that amount shown as gift given by father to his daughter.

Is it possible for company ??

or if company wants to refund the same then can company will refund that amount to his Residential account other than NRE Account ???

We are in the process of updating from v2 to v3 . And the email id which is registered , is already registered for another company. So i tried changing the email id on v2 profile and then tried updating to v3. While doing so the MCA is throwing an error " Error in email id" and hence i am not receiving otp for proceeding further. Tried raising a query on mca again unable to do so.

Kindly advise how to proceed and upgrade the user id to V3.
