Question -1. I want to know that What is the uses of Board Resolution in pvt Ltd company and where how to uses for it if i want to opned the additional bank account or closed the bank account then will i have to making the borad resolution.
Question-2. if i maked the board resolution can i upload board resolution in any portal so please reply me on this matter.

While filing NDH 3, it shows an error that value is not as per the last NDhH 3 filed whereas all the details are matched with last form filed.

My question is that the pledging of shares mainly (optionally convertible debentures) can be done by the borrowing company to the lending company(who gave the loan), if yes, is 100% pledging is necessary?

While submitting Form NDH-3, it shows Error Message as " Value is not matching with the Value in last NDH-3 filed. please enter a valid number". The form is filled with Correct Values as per last filed NDH-3, still the issue persists. we have been rechecked and refilled with fresh forms too. anyone facing the same issue?

I want to know whether a person can hold the position of managing director in more than one company at the same time. If any person currently holding such position, whether it will attract any penal provision?

Role change of one director is not happening under V3 login of MCA portal. It displays error report as 'Service Error' after entering one time password received in mobile. Since this is not getting updated, while uploading INC 9 form for company incorporation which needs to be digitally signed by all directors, it shows DSC of the specified director is not registered. Thus we are unable to upload the form. We had registered grievance with MCA. But there was no accurate response on this. Can anyone please suggest any remedy.

A private limited company has two directors in their Board and one of them is Bank's authorized signatory. Both the directors wants to resign the company but before their resignation, two new directors shall be appointed in the board to fulfill the requirement of Act as well as quorum.

Now the outgoing partner can not withdraw the power of being signatory in the Bank by himself..right ??

Board has to pass resolution for change the signatory and enclose their resignation letter and form along with it...right ??

Is there any section of the act which tells the same !!!
