23ac or aca will now have to be attached to form gnl 2.for filing financials for year starting before 1st April 2014.however new version of said forms are not yet available. Can anyone tell me what the process to be followed?

1. Windup of LLP and Incorporate Pvt Ltd Company or
2. Incorporate Pvt ltd Co and take over LLP.

And let me know the procedure for it.

For filing Dir-12 the prescrutiny of the form is not working. I downloaded the new form today and filled the same and trying to file. But its not working. Also for filing Annual returns the prescrutiny error is asking to fill the previous year figures although it is filled, its not accepting. Can some one help me with this as I have been trying to do file this since 10 days and some problem or the other is popping up.

The private limited company was formed 4 years ago & there are 4 partners with each having 25% shares. For growth/expansion, we are looking for funds & a friend is ready to invest in individual capacity in the company. Will he have to become member to invest. If yes, how & at what value does transfer of shares take place. Do the present shareholders will have to give their shares & the money comes to them & then they further invest in company or there is creation of more shares in company. Can he invest only through an MOU/Agreement by remaining as a non member? Can I get some sample MOU/agreement for the same.

Dear sir, Before we should hav use Form GNL-1 fo to File the Petton, after MCA has been updated and form GNL-1 not available in forms..so instead of Form GNL -1 which form should have to file..

It is written that chairperson or two director and c.e.o. ..
But also written c.f.o. and c.s. ..
My question is that c.f. o and c.s. is apart from chairperson ... Or it is alternative of chairperson ...

Can a Managing Director be a member of any committee of any other company ???

1)whether managing director is appointed for life by articles of association of a private company?  2)whether the person so appointed as director empowered by articles to appoint a successor?

I have applied for equity and preference shares of a pvt ltd company. However company has not provided me share certificate yet. Since long time has passed, I think they have already alloted the shares. How can I view whether they have alloted or not ? Can I view the register of members online ? Please help. It's urgent.
