Dear Experts, Kindly clarify the following doubts in company law. 1. The Articles of association of a company provide that dividend can be declared at an Extraordinary general meeting. Whether it is valid? 2. Can a person be appointed as Managing director of more than one Company? 3. Can a MD of a company be a Manager of another company also? 4. Whether the following is correct? Foreign company has opened an office for operating bank accounts in India. Hence, it is supposed to carry on business in India

Dear Sir,

Ours is pvt ltd Co. one shareholders wants to transfer part of his holding to three outsiders. there is no objection from existing shareholders. i would like to know about share certificates to be issued to new shareholder & existing shareholders.
For eg:

A has six shares and one share certifcate
he wants to transfer 3 shares out of six to three shareholders i.e each transferee gets 1 share.

Now,
After endorsement of names of transferess in the backside of the share certificate, should a new certificate be issued to transferor? or the old certificate would suffice?

will the new certificates issued itransferees required to be entered in register of renewed and duplicate share certificates.?

Our Client want to form a Nidhi Company. Whether we should first form a Public Company and after that apply for Nidhi Company or Whether there is separate procedure for formation of the Nidhi Company from the beginning ??

I have to get shares transferred of a Private Limited company from Mr. A to Mr. B. The paper work is almost completed but, just have the queries in respect to endorsement of share certificate.

The required details have been filled in at the backside of the certificate. But it contains "Initials" and "Authorised Signatory" fields, who'll sign these two fields.

While issuing the new share certificates to transferee in case of share transfer, how to mention the distinctive numbers. whether it should be same as in original certificate surrendered by transferor OR new numbers?

Sir I have filed inc-1 for company name approval to Mca on 13 April 2016 but till date its status pending for approval .almost 7 days leapse but I didn't received any mail to ROC for re submission. So but can I do for further action .
