If a parent company in India having a overseas subsidiary. Do we need to conduct an audit of that subsidiary if not done? even if that company's country do not requre an audit of accounts.

Please provide how we should go about in the following case:



A & B were directors in a company



Then C & D were appointed and Form 32 was filed with DSC of A



Then resignation form for A & B was filed with DSC of C



Now we came to know that date of appointment in Form 32 (filed for C & D) was inadvertently mentioned wrong



How we should correct the form 32 filed, can we file a revised form 32 with DSC of C??

Please clear me the difference between authorised capital,subscribed capital and paid up capital.

In case of preparing the minutes of the BM,do we have to write the full resolution of the EGM/AGM notice in the minutes of the BM under the heading Notice calling ensuing EGM/AGM... Its urgent..!!!!!!
