Is there any rule regarding allotment of share in business pvt co. having only 2 person as a partner and the director

Can someone clarify me on the below mentioned

we have got the name approval for a private ltd company and while applying INC-1, we have mentioned promoter directors as TWO. Now we wanted to include one more individual as first director and subscriber. Can we include his name as first director ans subscriber, if Yes, pls help me on filling Form Spice 33 & 34. Can we name all three as first directors in point No.58 of Form Spice-34 and as subscribers in Forms Spice 33 & 34

Kindly clarify me on this.

If the address for correspondence is the address of registered office of the company, then following attachments are mandatory:
1-Proof of office address
2- Copies of utility bills that are not older than two months.


I am going make my own house as registered office. What could be proof of address then?.

what if I have a rented property and wanted to make it registered office, rental deed cannot be made because company is not in existence.

IF person got name approval after filing INC-1 but this name is available up to 18.02.2017 . he want to reserve this name for next two months as not able to file other forms. what process/forms/letter we need to follow for reserve same name in future.

Our Company is planning to set-up a wholly owned subsidiary in Australia, New Zealand, Singapore etc. This is totally a new task for me.

Please guide me on the following queries,

1) Whether the RBI Approval is required?
2) What will be the requirements as per the Companies Act
3) Whether the provisions of Section 379 of the Companies act 2013 will be applicable to such wholly owned subsidiary

A company is registered in the year 2005 and filled annual returns till the year 2010. The company is not carrying any operation. Following are the queries in this regard:-
1.What is the process for dissolution of company?
2.Is there any difference between dissolution of company and strike off of name of company
3. Can the name of company be strike of by filling STK-2? Will there be any problem as company has not filled annual returns from the year 2011 to the year 2016.
