ABC is a private limited company holding 97% shares of a public limited company. In other words the public limited company is a subsidiary of the private limited company.

Can the public limited company avail loan from its shareholder / holding company which is a private limited company.

A pvt ltd company say "XYZ" pvt ltd has changed into "ABC" pvt ltd on 31.08.2009. the name change process has been started after Jun.09 and completed on Aug.09. The PAN to be changed in the new name. now the query is :
1) the Balance sheet , profit & Loss a/c of 31.03.2009 is to be made in old or new name.
2) in filing of ITR whether to be filed in new name or old name
3) now, if you give the new CIN of company, it shows the new name of the company, but on 31.03.2009 if we write old name of the company , it will mismatch in ROc.

Sir,
We have increased authorized share capital as on 25-Feb-2009 on Extra ordinary General Meeting from Rupees 5,00,000 (5,000 Equity Share of Rs. 50 Each) to 65,00,000 (65,000 Equity Shares of Rs. 100 each).But we have not Filled Form No 5 & Form No 23 till date.
So can you calculate the amount of Interest Payable & Calculation Technique.

In case of transfer of shares from a person outside to person in india by way of gift,is there any consideration involved???Is the person resident in India required to pay anything??

Plz suggest its very very urgent.
