We are a company registered in Bareilly, UP.

We currently have 3 Directors, all 3 have the necessary DSC and DIN.

We are planning to add two more members to the Board of Directors.

1. Do the two new members Need DSC and DIN?
2. Do the others forms like DIR3, DIR12 need to be filled up?

what if

A person was re-inducted as an Additional Director in July 2013 but was not regularized as director in the AGM held in 2013. he signed Financial Statement as Director of the company for the year 2014 - 2015. he also signed Income Tax Return of the Company for these years.

Whether his work is valid as per Section 176 of companies act, 2013

My query is:-

SPICE form is sent for re submission with following error:-

Please refer section 5(3) for entrenchment of article & attach separate sheet for entrenched articles with Condition or procedure for alteration of entrenched articles in AOA as per sec 5(3) of Companies Act, 2013.please specify the Condition or procedure which is more restrictive than SR for alteration of Entrenched articles IN AOA.

Case: In eAOA, i have altered clause 1 and entered the definition of the private company.
So in Spice main form (INC 32) , i selected "yes" to the question "Whether Articles of Association is entrenched" with details of the alteration that company which is being incorporating is a Private Company.

Please help.

can Section 8 company converted into OPC?

Due to death of a director , casual vacancy has been created . so please advice us that within how many days new director must be appointed so as to fulfill the minimum directorship criteria. Above mentioned case refers to private limited company.

basicaly, A director of OPC wants to make his wife a director of the same OPC..
what are the formaities and forms to be submitted and how much time limit to be taken in this process.
