which company have to register the charge at ROC, the company who is taking the loan or the company whose assets are on mortgage?

X Ltd is the 100% holding co. of Y Ltd. Y ltd. acquires a loan from bank for which X gives a guarantee by pledging Y's shares.

Does this call for creation of charge? If so, who shall file form 8?

I have to know that if a company named ABC ltd. taking a loan from a financial institution on the mortgage of immovable property of XYZ ltd. then who have to create a charge at ROC?

Section 295 and 372A of the Companies act does not applicable to a private companies.

So , my question is , in case of laon to directors or to his relatives or incase of inter corporate loans made by a private company , does it fall with in the scope of Section 299 of the Act,because scope of 299 is very wide and it covers all types of contracts. As there is no specific section deals with those transaction to a private company u/s 295 or 372A , will it fall u/s 199.
Pl. clarify my doubts

Mr. X was already a director in one pvt. ltd. company and he was having DIN. A new company is formed & while filling form 32 he was appointed as director of the new company. Now while filling first annual return(Form 20B) of the that new company, DIN of Mr. X is showing as invalid, when we filled its details in form 20B, the place where we filled details of all directors of the companies in point IV of the form 20B. Note: it is not a case of digital signature. Pls advice.

Can any one suggest from wherer I can get the list of Defaulters as per RBI.

I tried to search on RBI site but could not get it.

can the company take approval of members in place of directors u/s 297?
