I have a Cient which is a pvt ltd. co.( New) having two directors having shares in it in equal proportion.
One of the main director( Who is the main Owner of the co.) approached me asking that he wanted to purchased shares from the other director ( Who is his friend who helped him in forming the co. but due to no knowledge he divided the shares in equal proportion) Please advice me the procedure to purchased the shares from him for himself or for his relatives.
Also Shares Are not still allotted to any body

Hi Friends,

Will you let me know whether it is mandatory for any Company to issue Annual Report to its Members.

If it is so mandatory please quote the Section which states that.

We are four Director in one company one of them is died in 2007 now we have not any record of the company all record with legal Representative of died Director & they are not providing us so how can we legally get the records from him .We are unable to complete all legale compliance of the the company. The Company is Schedule IX company in which his legal representative was also director till 2004. so any body can help in this matter.

i want to change director & general provision clause in article of assocition. Kindly let me know the procedure to change the same.

A unlisted public Ltd. Co. having 3 Directors on Board, decided to increase the remuneration of all the directors as per Part II of Schedule XIII of the Companies Act, 1956 through EGM because the same requires the shareholder's approval through special resolution. Is it necessary to file the Form 23 twice i. e. once when the same was approved by the remuneration committee containing all the 3 Directors and again when the same was approved by the shareholder in EGM?

The date of Incorporation of my company is 17.11.2009

the balance sheet is made for March 2010 and agm is fixed on 31.05.2010

In 23ac & 23aca ROC forms they are asking for due date of the AGM

I have filed form-8 to Registrar of Companies after 60 days and request for condonation of delay. CLB allows by passing order in our favour for condonation subject to some penalty.
