Physical shares of non listed company

My father has inherited some physical shares of a non listed company (previous listed in the stock market)

Problem :
1) Should i hold the shares in physical format of the non listed company?
If yes then give suggestion why
If no can i tear the certificates as they are worthless

Beneficial Interest Rule

Can anybody tell me that when form 22B in ROC is required to be file? Also I will anyone judge that any individual had beneficial interest in a company?

2 Directors; 1 not signing the Balance Sheet

A Pvt Co has 2 Directors; 1 of the Directors is reluctant to sign the Balance Sheet, Profit Loss etc. No personal rivalry but has some suspicion on the figures.

What is the remedy?

Shares with differential voting rights

Can a newly incorporated company issue shares with differential voting rights? The rules for Issue of Share capital with DVR states a condition to hold distributable profits under section 205 for preceding three financial years.

Does this mean, that only a company with three years existence can issue such shares
