a person is appointed as managing director in two different Companies and intend to draw remuneration in both the Companies, How his remuneration ( with limits as per schedule XIII)would be decided in both the Companies
can a person be a managing director of the company without getting any remuneration from it.

Can an attorney holder of a director of a company appoint another director on the behalf of said attorney and file form 18 to ROC?

Hello friends

I got my pharmaceutical company (private limited) registered in June 2009 in Ahmedabad.

Unfortunately due to various hindrances my company failed to start any business operations till date. We have incurred expenses like rent and legal documentation etc. but no sales or any other income has taken place yet.

I don't want to wind up my company as I'll start its business operations as soon as I manage to solve my problems.

After the end of financial year 2009-2010 on 31st March 2010 I am wondering what legal formalities my company should fulfill in order to stay alive.

Could anyone please guide me on this issue?

Please suggest me an inexpensive way to fulfill the legal formalities listing those formalities in a simple way.

We want to make an application to ROC for the extension of time for holding the AGM.

1. My question is that whether approval of Board of Directors is required for filing an application and what is the time limit for filing application if the due date for the AGM is 30th September.

2. What are the valid reasons for which ROC may grant extension? Seizure of books of accounts or natural calamity is not applicable in our case. We want some general reasons.

We have issued pref. shares at premium, what will be value of shares at the time of redemption whether it will be redeemed at face value or company have to refund that premium amount which was received at the time of issue ?

1) Should i hold the shares in physical format of the non listed company?
If yes then give suggestion why
If no can i tear the certificates as they are worthless
