A private limited Co. was registered in ROC Kanpur on 31.03.2007.At the time of incoproration only one director has taken the DIN-1. Thereafter the company has filed no documents to the ROC.

Now the company wants to update all their records in the ROC by filing all their pending returns. Now the query is that before filing the documents to the ROC is it mandatery to :

1: Take DIN-1 of one more Director

2: Take DIN-3 of Both the directors because DIN-3 was applicabe at the time of incorporation.

What is the procedure for obtaining duplicate shares(physical shares) of the company if the physical shares are lost or misplaced?

Are there any special powers to the directors or chairman of the company that can issue duplicate shares immediately to the shareholder as a special case, to avoid any procedures for obtaining duplicate shares if shareholder is too old and because of oldness that he/she could not follow the statutory procedures for obtaining duplicate shares

Hi....can anyone tell me whether a pvt. Limited company should take a compliance certificate for the financial year 2009-10 if paid up capital was raised more than 5 crore on March 31,2010 and qualified CS has been appointed within the month of April,2010.
