A Company has two directors A & B,in a meeting director's B resignation has been taken on record and in the same meeting a new director C have been appointed...
now the query is the existing director A doesnt have DIN and the new director C has DIN...n can C sign the Annual reports within Form 32 being filed with ROC ??????

How does a director resign from the board in a Pvt. Ltd.,if the Board fails to accepts his resignation ?

Dear Sirs,

A Pvt. Ltd. Company was incorporated on 13.01.2010. No transaction other than share application (in cash) took place on or before 31.03.2010. Even the bank account was opened on 16.04.2010.

Under such a case, is the company liable to file Income Tax Return & ROC Return ?

1. What is the meaning of an executive Director. If there are 3 directors in a company, what is the minimum no of executive director. CAn all 3 be non - executive.

2. Whether an Independent director is one who does not have any shareholdong in the company

But whether the appointment of Ordinary directors is an ordinary or specal business.

Sir, we have only 3 directors in our co which is a listed and limited co and all the three directors are additional directirs who will be appointed as directors in this AGM. So plz confirm whether any director is liable to or will retire by rotation this year's AGM.
