25 September 2010 A Company has two directors A & B,in a meeting director's B resignation has been taken on record and in the same meeting a new director C have been appointed...
now the query is the existing director A doesnt have DIN and the new director C has DIN...n can C sign the Annual reports within Form 32 being filed with ROC ??????

25 September 2010 Yes C can sign Annual Report only after filing Form 32.

Also if u file 1 Form 32 for both appt & resignation than ROC will not accept the DSC of C.

SO either get the DSC of A. or File first 32 for appointment with the DSC of B. And after its approval file FOrm 32 for resignation of B with DSC of C.

25 September 2010 As Per my knowledge, In today situation, it is mandatory to have DIN of all director and file DIN 3 with ROC otherwise your director details will not update at MCA portal.

If C is authorized by board that he will sign the Annual Report on behalf of the company then he will sign such report.

But in today MCA filing when you fill Form 23 AC, ACA and FORM 20 B and fill the DIN of the authorised director, then the form will not pick the details of such director because Form-32 of such director is not approved. I will suggest you to wait approval of Form-32 and then file such Forms digitally to ROC.
