24 September 2010 can all the directors on the board be non executive directors

24 September 2010 Yes it is possible.

However if you need to compulsory appoint MD/WTD as desired by section 269 then it is not possible.

For example in a small private co. where only 2 director required --- both can be NED.

24 September 2010 There is no specific provisions in Companies Act, 1956, that all directors of the company should be executive or non-executive. In case of private company minimum no of director should be two whether executive or non-executive and in case public company minimum no. of director should be three whether executive or non-executive.
