MCA has recently issued circulars whereby a Board member or Shareholder would be able to participate in the Board/General meetings through Video Conference. In view of this, whether necessary modifications would be required in the Articles, at least in case of companies which are set up now onwards?

Can I know the applicable sections and compliance required in th following case:
1. A Public limited company has made Private placement of equity shares (Existing Share Capital- Rs. 13,55,000. Additional issued- Rs. 1,00,97,000)

2. A public limited company has paid up Share capital of Rs. 1,14,52,000 and Secured loans of Rs. 1,15,07,906 (including Rs. Term loan from bank-Rs.1,13,99,885 and Bank OD –Rs. 1,08,021)

share warrants are issued by a public comapany and pvt ltd co., cannot issue warrants

My query is for what purpose the warrants are issued

and we are now going to apply the fresh DIN but MCA not accepting those. in MCA Websites the showing provision the din.

Please suggest me what is the procedure to followed by a private limited company & by the old & newly appointed auditors for ROC filing in the following situation :

a) Auditors appointed in the AGM resigns from the post of auditor during the year ?

b) New auditors are appointed in the EOGM held by the company ?

c) What are the forms & resolutions that are to be passed by the company in the above cases ?

Dear Friends/ Experts,

Ours is a public limited company incorporated in the year 2006. However the business opeartions of the company has not been started yet.
As a result of the same the company has not prepared its Profit & loss account for Fy 2010-11. Tee company has capitalised all the expenses incurred during the financial year 2010-11 and taken under the head preliminary expeses in the balance sheet of the company.

Subsiquently while filing eform 23ACA on MCA portal i can not attach P&L account to the form 23ACA.
However form 23ACA can not be uploaded without mandatory attachment of P&L account

Please suggest me on this issue.
(Note: The company has prepared Income & Expenditure account for FY 2010-11)

There is an indian company named ABC (P) Ltd. with three members A , B & C with equal number of share holding i.e. one - third holding by each of them.All the three members have purchased these shares in their own name. A & B are non residents whereas C is a resident . A& B also have their shareholding in foreign companies too namely A (p) Ltd and B (p) Ltd respectively. A & B want to transfer their shareholding in ABC (p) Ltd. to their foreign company i.e, A want to transfer its shares to A (P)Ltd and B want to transfer its shares to b (p) ltd. Is that Possible???? if yes what is the procedure?????
