Our company ha given loan of Rs. 15crores to other company for some project, the borrower company has used the money for its project purpose and after some years instead of paying back the loan it wants to issue/allot share for the loan amt. so. pls guide can it be done so & if yes under what section pls. clariy.

And also pls. provide me the resolution for the lender company giving their consent for accepting shares instead of loan amt

I want to appoint independent director in private company in AGM. what is the procedure to be followed and please provide me draft resolution to pass in notice.

is it any information mention in the directors reports regarding appointment of director.i.e. while preparing annual accounts what are the information to be provided regarding directors appointment.

Annual return is the only way to show the effect of share transfer in private ltd company then ,
what if the company has made 2 annual return for the same year, same date of meeting and one shows "no share transfer since last AGM" and other shows "transfer details of share since last date of AGM"

Is it a forgery?

If yes then by whom by company directors or by company C.S.?

I WANT TO START A NEW PVT.LTD COMPANY WHAT IS THE MINIMUM PAID UP SHARE CAPITAL.

AGM could not be held even at short notice due to delay in audit.
1.)What kind of reason be given to ROC for extension?
2.)If ROC does not agree and refuse to give the extension, what is the remedy.

I have hereby received a request for incorporating a private limited company with the facts being the following:

1. All the shareholders are foreigners.
2. All the Directors are foreigners.
3. But the Company wants to have place of registered office in India and carry on its operations in India.

We have filed Form1, Form 18 and form 32 after necessary correction but not now the status is shown as :

PENDING UNDER REGULATION 17(6)
AS BOTH THE OPTION OF RESUB/PUCL HAVE BEEN LAPSED, THE FORM IS KEPT UNDER PFR 17(6)

Pl help out in resolving above issue.

Is it compulsory for a company to give newspaper advertisement after dividend declared at the meeting that dividend warrants have been posted and advising those who do not receive the warrants within 15 days to get in touch with the company for appropriate action.If so then which clause does it cover?
