15 September 2011 I want to appoint independent director in private company in AGM. what is the procedure to be followed and please provide me draft resolution to pass in notice.

is it any information mention in the directors reports regarding appointment of director.i.e. while preparing annual accounts what are the information to be provided regarding directors appointment.

You can appoint an independent Director in a private company by taking the consent letter from the director and filing Form 32 regarding his appointment within 30 days of AGM

Reply to Query No. 2
In the Directors Report you should mention about all the directors appointed, resigned and re-appointed during the financial year.

16 September 2011 I agree with the expert but in the agenda for the meeting the proposal for appointment of independent director be mentioned.
