How can be appoint Additional Director under Regulation 75 of Table A of Companies Act 1956?

Is there any need to pass the resolution for payment of director Remuneration as per companies Act,1956.

I have a Query that whether there is any maximum limit upto which Unsecured Loans can be taken by a Private Limited Company

Can the board of directors of Pvt Ltd company decide and pay salary of the non executive directors for the first time? They were not paid earlier eventhough they are directors for 2 years.

Or whether it should be approved by the shareholders?

Is there any change in section 79 of the Companies Act ?
And what is the current position.
