I am working in a pvt ltd company my company have 3directors and 1more additional director is appointed on january'2011 at the time we are appying DIN & got it then e-filling form 32 and now we preparing for ROC annual returns
my question is we once again e-filing form 32 at the time of ROC return?? or not

Dear Sir,
We have family owned business, registered as a Pvt. ltd. Company. My father is the Chairman cum Managing director. His 3 children including myself are the directors in the company. Amongst the 3 directors two are NRI directors (including myself) Recently on the hospitalisation of the M.D, one of the director has forcefully taken position of the business and managing the company without the approval of either the M.D nor the the other directors. He has also taken away all the documents and records concerning the Company and refuses to hand over the same to the M.D. We have lodged a police complaint but no action was taken. Please advice what steps I can take to protect my company as a NRI director.

Determination of due date of AGM.

Company year end : 30.09.2010
Last Agm held : 28.12.2009

Due date of AGM will be 28.03.2011, keeping in mind Section 166 and 210 of Companies Act.

As per Sec. 166 Every company shall in each year hold its AGM.

In above case AGM is not held in the same calender year.

What can be the remedy and due date in above case.

what is the order in company law procedure, is the company to hold agm and adopt the accounts and then the auditor to sign the financials. what is the time required for giving notice and holding AGM. can the date of agm for adoption of accounts and signing by the auditors of the accounts be on the same day.

Preference shares are issued in 1990 and as irredeemable and The Company wants to redeem the shares now and Company wants to redeemed the shares at a Discount and not at the par value.
Please give the guide lines of that and any circular??

A newly formed Pvt Ltd Company having subscription money from USA. So what are the provisions to be comply with the RBI? Kindly give drafts documentation of the same and time limit of the same. Further any kind of annual intimation/s is required to be given or not in the said case with the RBI.
