Ours is a pvt. ltd. co. pl. tell me what records/ registers/ to be maintained in view of roc. annual e-filing is being done by us on regular basis.

i want to knw the privileges of private co. upon the conversion of limited (unlisted) co. into pvt co.

or removal of restrictions on limited (unlisted co) as compared to pvt co.

pls pls solve, its urgent or provide me with sections which deal with above problem

company director got the loan from his relatives in his saving a/c and then after paid same amount for company's license fees out of his saving account .
what accounting treatment should be given for this transaction in the book of company or is there any issue as per company act.

1. What is the late filing fees for the year 2010-11 since the last date was October 31,2011.The Co. is a Pvt. Ltd. Co. with paid up capital of Rs. 1 Lac.

2. Can u please provide the format of Boards Report & Annual Report & Schedule VI of Balance Sheet & Profit & Loss A/c.

While incorporating a company, which likely to acquire exiting business of a firm, (ABC Pvt. Ltd acquiring business of ABC {partnership firm)) and parterns of the firm are promoters / would be directors of the company. Is there any change in the procedure to incorporate the company.
e.g. mentioning in objective or somewhere else
1. while applying for name or
2. while incorporting the company or
3. in M/A and/or A/A

"I" is individual and "C" is Company registered under company law as private limited company.
a)"I" is willing to establish a business to get all benefits of "C" like turn over , work qualification etc . for Tendering Govt. Tenders
please advise best Business form ( LLP, pvt.LTD/LTD) share capital & share holding pattern ,where share capital of "C" is 10 lakhs and Turnover is 10 CR,12.24 cr/15cr about in last three financial year.
new setup will be controlled and owned by "I" where "I" is resident Indian.
