A private ltd co with sharecapital Rs. 100000/- has only two shareholders .The same members are also director in that company.If company can conduct AGM on the same date as that of Balancesheet, Auditors Report and directors Report.

We have to file form 61 for a company. The current status of the company is Dormant. Will form 61 along with document be filed manually?. If it will be filed online then DIN is not updated.

Can any CS or CA can file form 61 on behalf of company through his log in id.
Kindly suggest.

Another question is that as soon as company's paid up capital is raised to 5 crore, company is bound to have a CS in whle time empl., How many days limit is granted to company by law??

a pvt. company was formed on feb 20 2006.then after nothing has been filed to roc till date.we have just hard copy of company registration certificate only.now we want to revive the company.we don't have the memorandum copy n articles copy filed to the roc so what procedure must be done for geting the memorandum of the company n file all documents from 2006 to 2011????

My company Directors by resolution passed in Board Meeting delagated authority to the Finance officer of the company to execute mortgage( to deposit title deeds ) on behalf of Directors of the company.

Now the questions is whether company directors can do so....whether any officer of the company by a specified authority of resolution can do so?

As per my view DIN 1 can be filed by the CS in a Company if he own DSC. We need not to take assistance from Any Practicing CS, CA or an ICWA.
Correct me if i am wrong.>

Another thing which i want to know is that Who can certify the Documents submitted through DIN 1??

And The procedure in filing DIN 4 is same??
