What is the procedure for transfer of share from one person to another person in the private company ?

any one can tell me that in case loans taken from relatives of director.
in which relatives means................?

Can a Proprietary concern run with name Pvt Ltd?

pls let me knw the whole procedure for changing name of the director, who is already holding valid din?????

there is change in name as she got married(surname change)????

will she get the same no. or altogether a new din will be alloted???

As per Section 78 of Companies Act 1956 in Bare Act , No need to pass SR for issue of Shares at Premium.

But i have seen few replies in CAclubIndia stating that SR is required to be passed for issue of Shares at premium.

Please Clarify??

Also Clarify For Section 79!! i think OR is passed on issue of Shares at Discount!!

In reference to the wholly owned subsidiary in India do we have to file FIRC Reporting Documents and Form FCGPR-Part A with RBI at the time of incorporation since it is a subscription and not a normal allotment of shares. If yes, what is the timeline.
