can minor become a witness at the time of subscription of shares....i.e. has he authority to sign as witness on subscription page at the time of incorporation of the Company?

As per the latest rules, rights issue offer is required to be kept open for a minimum of 15 days. My question is :-

1) What is the maximum period for which the rights issue offer can be kept open?

We have alloted shares for consideration other then cash but by mistek in allotment return i have write consideration for cash. Do i need to file Form DIN 3 if Director is appointed on 01/02/2012(after 01/07/2007)? I just came to know that DIN 3 is required to be filed only in case where director is appointed prior to 01/07/2007. Plz guide.

Kindly suggest for below case:

A co. made a Pref Issue 81(1A) of warrants at
Issue Price - RS.100/-, FV- Rs. 10/- & Prem of Rs. 90/- before a year but now Market Price of the Share is Rs 20/- so the Allottees are not willing to pay balance 75% amount.

Now what recourse the Co. has to sustain the allottees instead of Forfeiting the warrants.
