What is the meaning of optionally convertible debentures?

Kindly suggest for below case:

A co. made a Pref Issue 81(1A) of warrants at
Issue Price - RS.100/-, FV- Rs. 10/- & Prem of Rs. 90/- before a year but now Market Price of the Share is Rs 20/- so the Allottees are not willing to pay balance 75% amount.

Now what recourse the Co. has to sustain the allottees instead of Forfeiting the warrants.

i need format of special resolution and explanatory statement for allotment of shares for a public company..

Need clarification on few queries -

1) Can a Private Ltd Company use share application money before allotment of Shares?

2) Can Pvt Ltd Co return share application money after a long time if they don't wish to issue shares?

3) Can Pvt Ltd Co issue optionally convertible debentures to residents?

Dear Sirs/madams,
I submitted form 1A for company name approval naming two directors and 4 promoters therein. the form got approved and we got the desired company name.But on the very next day we came to know that one of the directors, who was also named as promoter, died.now what should we do to incorporate the company naming another person as director as well as promoter in the replacement of the deceased person?

one of our client comapany have 2 director, one of them resigned now if we appoint additional director, minimum director compliance fulfilled

I work with a pvt ltd company and the shares of the co are held in physical form.

Kindly let me know what is to be filled up in the register of share tansfers w.r.t following:

1. "Date of lodgement of transfer"? is it the date when the co receives share transfer deed? and will the "date of Board Resolution approving the transfer" will be a date falling after the "date of lodgemnt of transfer?

2. "Transfer fees"? do the co recive any amount from the acquirers of the shares to register such transfer?
Which section of the company law governs this?

WHEN THERE IS CHANGE OF NAME OF COMAPANY WHAT FORMALITIES ARE REQUIRE TO COMPLETE?

I.E. SUPPOSE ABC CO HAS CHANGE THE NAME TO XYZ CO, & HE GET THE APPROVAL FROM THE CENTRAL GOVT.

THEN HOW THE PROPERTIES THAT IS LAND & BUILDING ,MACHINERY IS GOING TO TRANSFER WITH NEW NAME OF THE COMPANY?

IS STAMP DUTY IS REQUIRE TO PAY?
PLEASE GUILDE FROM THE LAGAL POINT OF VIEW

SUPPOSE THERE IS ONLY ONE CO i.e.ABC CO.
& HE WANTS TO BE XYZ CO.

UNDER THIS ABOVE CASE WHAT ACTION COURSE POSSIBLE THAT SAME PAN NO (PREVIOUSLY HELD BY CO ABC CO) IS ALLOCATED TO NEW FORMED CO XYZ CO.

1.IS IF IT TAKE OVER CO?
2.IS IT IN THE NATURE OF EXTERNAL RECONSTRUCTION?

Please inform me what to do for share transfer if shareholder of a private limited company dies.
