A private limited company decided to change its name, soon after incorporation, even before the share certificates were issued to subscribers to MoA. What will be the time limit to issue share certificates(with new name) in this case, 3 months from incorporation or from date of change of name?

Can you please tell me if there are any provisions under any corporate law which mandates that atleast one director of an Indian Company must be a resident in India? Is it possible to have a company with all directors being non-residents?

I am fill e-Form 2 Allotment of share, but by mistake the date of allotment is wrongly filed.
The coorect date of allotment is 10/2/2012 but in the e-Form 2 is mention as 10/3/2012.

Hi all,

If in private ltd company there are only two directors and 1 director stays out of India and attends most of the meetings via teleconferencing then how he sign Annual account when he attend that particular board meeting for adoption of account via teleconferencing?

What will be the legal consequences when we transfer shares from one SH to other & transfer is taking place below the price on which originally shares were alloted i.e. below the market price.
