One of my Clients has formed a Pvt. Ltd. Company with one of there Japanese friend. Now the company wants to receive Funds from Japan against issuance of shares. What are the steps & provisions applicable & relevant sections also. Plz Guide.

1. for admitting a new partner and retiring one existing partner one deed is necessary or separate deed is required, if one deed is enough please give me the format.
2. whether the retiring partner's account can be settled by the new partner for receiving retiring partner's right in the partnershp firm.

suggest me resolution to transfer bank account from one city to another along with preamble.

Please let me know that when the declaration u/s 274(1)(g) is required to be received from directors.

During the March Board Meeting, it can be received or only on the last date of Financial Year i.e. 31 March or in the month of April it can be received.

Please throw light in given situation.

what is liability of retired directors in a company . The director is retired three years back. If he got any legal notice in respect of company matter. please give suggestions

Whether Private Limited Company can start new business stated in Other Objects of MOA without passing Special Resolution in General Meeting (as stated u/s 149 - 2A) or under any other Section of Companies Act, 1956. However Section 149 is not applicable to Private Limited Companies.

Can any one suggest me the procedure need to follow when the both director are died (husband and wife)and only one director left (son). The son (3rd. director) would like to appoint second director to sign the audit report and the court already allowed him to do so. The court involved in this case because the company are already desolved and the son filed to the court to activate the company.I also need sample of board resolution for the above actions. Thank you.

the former CS had furnished a notice to the company as on 15.02.2012 & date of leaving was 14.03.2012
Date of BM to accept the resignation is 23.03.2012
1)What will be the date of resignation to appear in e-Form 32 will it be 15.03.2012 or not?
The existing Assistant Company Secretary has been promoted to such position and the same was resolved in the BM held to on 23.03.2012, please suggest as to what should be the date of appointment of the 2nd CS??

(2) can he be appointed in back date, say, w. e. f. 15.03.2012(a day after the resignation of the former CS)via mentioning the same in the resolution so passed? or date to appear in the e-form 32 should be the board meeting date??
(3) can both the appointment & resignation be filed in the same e-FORM??

what is the limitation period for filing petition in CLB for condonation of delay (for uploading form 17)

as the charges of the Company are since 1994... so can i file petition before CLB today...
