What should be the nominal value per shares as per Companies Act? Or is there any specified value for nominal value of a share?

our company is a public company limited by shares n unlisted. it is a manufacturer of aloe Vera products.company buys raw material(aloe vera Leaf) from directors who owns agricultural lands.they enter into MOU with company to supply raw material n in return company allots shares for the money.aloe vera leaf cost 10 (each leaf) n out of 10/- 8/- is adjusted towards share allotment,2/- will be paid in cash. our authorise capital is 25 crores n paid up capital is 20 crores.

As directors are cultivating other crops in the subjected lands they want to cancel MOU.(Reducing the area of cultivation of aloe vera). so i opted for buy back of shares kindly advise me

Does a company registered U/s 25 of the Companies act needs to get registered under BPT Act?
will it be also governed with BPT act ?

Having understood that Company's board meeting has to be made once in 3 months, how to submit the meeting proof and whom to submit. Is that mandatory or can we do a total of 4 meetings in an year any time?

Can a loss making public company issue shares at a premium with the intention to convert promoters' loans into equity within the existing Authorised Capital.

A company has filed wrong Annual report to ROC.

It has filled wrong paid up capital amount in form 20B.
As per form 20B our Paidup capital is Rs.200000. but in form 23AC it is 500000 (correct).

It has also make mistake in attachment of form 20B.

Now what is the procedure to change the form 20B. Whether we can revise the return.

Please provide format of Board resolution of a Private Limited company for fixing remuneration of a director along with provision of housing accomodation owned by the Company and re-imbersement of electricity expenses for the accomodation.
