10 April 2012 Sir,

Please Provide me Information regarding Date of Share Certificate

For Example :- I have to Issue the Share Certificate After Board Resolution have been Passed Say the Date of Resolution was 01/04/2012 , Now I will Send the Certificates for Stamp Duty Franking with Banks Say 04/04/2012 , Now the Certificates will Sign By Directors after Franking as on the Date of 06/04/2012

Now my Question is What will be the Date of Share Certificate ??
will it be 01/04/2012 or 04/04/2012 or 06/04/2012

Please reply me soon Its very urgent

You can take any days before signing of share certificate it can be BM date or any day there after, because this date require on which date you use common seal of the company. As per my knowledge after signing by directors the seal is use.

So i will suggest you to choose any day either 01/04/2012 or 04/04/2012 its depend on you.

10 April 2012 Dear Sir ,

But If I will Give Date 01/04/2012 and at the time of Franking will the Bank will do the Stamping the Certificate on 04/04/2012 on the certificate considering the Date 01/04/2012 , Will it be Violate the Stamp Duty Act that the Certificate Date Should not be before Franking of Certificates

Hi

Please read the share certificate what was written on the face of it......It is generally given the date of common seal and it will be given when all proceeding regarding share certificate has been complete before the issue of certificate to shareholder.

I have earlier said that it will be any date before signing and issuing date.
