Can you please let me know what would be cost of incorporation of Pvt Ltd Company with the MCA of Form 1A,1,18,32, Stamp Duty, Filing Fees etc. for a Company:

1) Has 4 directors(including 3 foreign nationals)

2) Capital of 8 crores

If ayn other details are required, please let me know.

Obviously once it is formed, it'll have to apply for PAN card, TAN no., VAT regn, CST regn, Service Tax Regn., Profession Tax Regn etc. but what I'm looking for is an estimate only of Company Formation exps with the MCA..

IF A a listed company has issued the cheque to B company but when B company has deposited the cheque it was dishonoured due to stop payment instructions given by A company. Now, is Mr. C, who is working as company secretary in A ltd, is liable for the offence under section 138 of Negotiaible instrument act??

Sec 189 of the companies act, 1956 talks about the ordinary resolution and the special resolution.

Sec 189(1) - Ordinary resolution empowers the chairman to cast his vote during polls.

But under sec 189(2) - Special resolution the companies act is silent on casting of vote by the chairman.

My question is whether the chairman of the meeting can vote on Special resolution?

KINDLY GIVE THE ADVICE REGARDING WHETHER THE DEFAULTER DIRECTOR ( WHO IS IN DEFAULT OF FILING ANNUAL RETURN AND B/S FOR YEAR 2006-07 OF PVT LTD CO )CAN BECOME DIRECTOR IN NEW PVT LTD COMPANY.

Is the Independant Director of an unlisted company liable to submit a declaration to the Board about the nature of transactions entered into with the other companies in which he was a common director? Whether such transactions include claim for reimbursement made by one company to the other?
