Book closure

Whether it is necessary for a Ltd company to close books for declaring dividends.... As per my interpretation the company need not require to close its books... Correct me if m wrong ???
Please clarify me as soon as possible.....

Payment of stamp duty

An Original Subscriber to memorandum in a privte limited company wants to transfer his share holding where and how should stamp duty on these shares is to be paid ?? Is stamp duty payable by both transfer-er and transferee??

What is the procedure of appointment of director in 30/06/2012 and what are the requirement in Annual return for the same.

if i file form 32 today than after AGM i have been file form 32 ones again ?

i am confused so please Provide full detail regard hole process until AGM.

Once a pvt company has been incorporated whats the procedure to issue Share certificates to subscribers?? If this was orignally not done what should be the ideal procedure to transfer the shares at a current date??
