recently I started my practice and one of my clients wants to sell his entire company limited by shares(100% shareholding by family members of 5) to some other persons.
which is the best practical method to suggest to my client.

Sir,
At the time of Incorporation of a company, when we filed Form 1A for Name approval, we select category of company as private in place of public, while the name of company doesn't include the word private.
The concerned form approved by the ROC and Name get approved and we follow all the formalities relating to incorporation.
But when we receive Certificate of incorporation which contained CIN of a private company, we found our mistake.
Now please guide us the procedure to be followed for converting the company as public company.

what is the effect if members approve Remuneration after six monts form the effective payable date??

1. Is it necessary for a pvt ltd company to make a common seal ? I am making the share certificate of the company .

2. Can we make normal round stamp from a local manufacturer, same as we make round stamp of practicing CAS (cost will be around 100-150 rupees ?

I WANT TO KNOW THAT IF IT IS SPECIFIED IN CLAUSE OF AOA THAT "ALL THE DIRECTORS OF PRIVATE COMPANY ARE PERMANENT & CANNOT BE REMOVED".
THEN CAN WE REMOVE THE DIRECTOR OR NOT.
