paid up capital 70000 share of 10 each fully paid

then on 27/05/2011 co. Issued 48000 share @ 5 paid up
and that share ON 20/10/2011 forfeited

now, company wants to issue 80000 share at 5 paid up (fresh issue) ON 01/01/2012

so my question is what should be issued and paid up capital after last allotment which were
pleas pleas reply...................

Can a private limited Company distribute dividend out of the balance in Profit & Loss account in the Balance sheet?

Is there any way to convert a partnership firm into a private limited company and that to without attracting capital gain tax and where the number of partners in the firm is two

recently I started my practice and one of my clients wants to sell his entire company limited by shares(100% shareholding by family members of 5) to some other persons.
which is the best practical method to suggest to my client.

At the time of Incorporation of a company, when we filed Form 1A for Name approval, we select category of company as private in place of public, while the name of company doesn't include the word private.
The concerned form approved by the ROC and Name get approved and we follow all the formalities relating to incorporation.
But when we receive Certificate of incorporation which contained CIN of a private company, we found our mistake.
Now please guide us the procedure to be followed for converting the company as public company.
