Is it necessary for a Holding Company to consolidate its subsidiary's accounts in the unaudited financials to be submitted in the board meeting?

if LLP incorporated on 1st Jan 2011 and annual return for financial year 2010-11 and 11-12 both are not filled.
So wat can i do now? whether to file both return in same form i.e. form no 11 or i have to file separately for 31.3.11 & 31.3.12?
