If all directors are interested in pvt. ltd. company. How we can pass Board resoltion for realted party transactions because interested directors will not participate in board meeting. Is their any exemption for pvt. ltd. company.?

Their is one company (M/s. ABC Pvt Ltd) having directors Mr. A & Mr. B. Mr. B is also having its sole proprietorship named B Exports.

M/s.ABC Pvt Ltd is having receivable from Mr.X (Customer) and B Exports is having payables to Mr.X. Can both the receivables and payables be adjusted.

I want to add new director in existing pvt ltd co. I want to know that can we appoint in EGM of Shareholders without holding Board Meeting since Board Meeting will appoint Additional Director and we will have to do the process of appointment again after AGM to make Additional Director as Director.

NO MAIL RECEIVED FROM MCA WITH ATTACHMENT OF CERTIFICATE. STATUS OF SRN SHOWS "APPROVED". PLEASE CLARIFY WHETHER CERTIFICATE OF COMMENCEMENT OF BUSINESS RECEIVED THROUGH MAIL?
