We have following companies
A Ltd, B Pvt. Ltd. & C Pvt. Ltd.

A is a Borrower and mortgaging property of B and C for its Loan.

Now my question is
Should it is suffice to file form 8 for only A ltd. or Require to file seperate form 8 for each company.

One of my client, a Pvt. ltd. has revalued its assets and created revaluation reserve. Now it has sold its one asset earlier revalued. For clarity, let us assume, the book value originally was 100. revalued amount is 150. So revaluation reserve is 50. It was sold foe 180. it has recognized profit of Rs. 30 in p&l and the revaluation reserve was transferred to general reserve.
Is the treatment proper as applicable AS, Guidance Note and Companies Act, 1956?

can a company be appoint an Independent Director as consultant say Legal/Technical, having vast expertise in the feild, without any monitory benefit other than Sitting Fees (ie, rendering service to the company for free of cost as consultant)??

There is always a confusion regarding signing date of minutes, which i have noticed wit my CS.

Eg: If meeting is held on 4th April then the signing date is taken as 6th april.

They now say the signing date should be of the next meeting held ie if Meeting is held on 4th april & the next meetiong is held on 5th august then the meeting date of the previous date should be 5th August.

What does the Co Law says in this regards?
& Also let me know if i further want to ask query to the related qtn what do i do?

Can a subsidiary be a Public limited and the holding company be private limited ?

Assume, one Company has filed Form-23AC to Registrar of Companies on 31st March, 2011. After some time, raise question or query by Board of Directors and in that case the Balance sheet are revised and further the Revised Balance sheet can file ROC but the same cannot and query raise "THE SAME BE FILED TO ROC ON 31.3.2011 AND CHALAN NO THIS...."

As per the board resolution of XYZ Ltd. Mr. A, Mr. B & Mr. C (all three are directors) are appointed to represent company at various meetings held by & for company.

XYZ has an investment in say 10% of share capital of M Ltd. For the AGM of M Ltd, to be held at July end, XYZ Ltd. appoints Mr. D as a proxy.

Is this appointment of Mr. D valid? Can a director appoint proxy?
